Connecticut Registered Agent
What is a Connecticut registered agent?
A Connecticut registered agent is authorized to accept legal mail on behalf of a business. The registered agent must accept this legal mail in person at the registered office address they provide to the Connecticut Secretary of State. Once the agent gets served with the relevant documents, they must then forward them to the represented business as soon as possible.
Purpose of Connecticut Registered Agents
Under Connecticut law, a Connecticut registered agent has one main purpose: to accept legal mail for the businesses who appoint them. If someone files a lawsuit against a Connecticut company, their registered agent will receive notice of that lawsuit. The agent must then send the legal paperwork over to the business as quickly as possible.
Connecticut Registered Agent Requirements
All registered businesses in Connecticut are legally required to obtain a registered agent. There’s no getting around this requirement, so you’ll need to designate a registered agent early in the process of forming a company.
Your registered agent can be an individual or an entity. If your registered agent is a person, they must be willing to have their name, business address, and residential address included on formation paperwork. If you hire a domestic entity to act as your registered agent, you must include their principal office address. If you hire a foreign entity (in this case, foreign means formed outside the state), you must include their principal address within Connecticut.
How to Find a CT Registered Agent
Before you find a Connecticut registered agent, you need to first figure out what kind of registered agent you want representing your business.
If you want to appoint a person to this role, they must reside in the state and have a physical address, not a PO box or something similar. This person could be a friend, business partner, or even your old college roommate. But make sure you trust this individual, since they’ll have to accept confidential legal documents on behalf of your business. It’s not a job to hand to someone random.
If you’d rather be represented by an entity, it’s time to seek out a registered agent service. These are professionals who represent multiple companies at the same time. Decide if you want bare bones service or all of the frills, since there are plenty of registered agent services who will go beyond just the basics of accepting legal mail and forwarding it to you. For instance, we offer other services like document uploads, instant notifications, and annual report filing.

How do I change my CT registered agent?
To change your registered agent, the departing registered agent will need to send the Secretary of State a Certificate of Resignation stating the following:
- company’s name
- the agent’s name
- a statement of resignation
- address of the affected company.
The departing agent is then required to send the company a copy of their resignation. Connecticut does not provide a specific template for a Certificate of Resignation, so they’ll need to create this document before submitting it. There is also a $50 filing fee.
After that, your business must fill out a new Change of Agent form and pay a $50 filing fee.
